The social network said it expects the WhatsApp acquisition to close later in 2014, adding that in the event the transaction is not finalized by Aug. 19, it will pay a termination fee of $1 billion to WhatsApp, along with issuing the cross-platform mobile messaging company the equivalent of $1 billion in shares of Facebook class-A common stock.
