CHICAGO–Publicis Groupe shareholders approved the acquisition of Bcom3 and a subsequent partnership with Dentsu at its annual shareholders meeting Tuesday.

The deal, valued at $3 billion, will create marketing’s fourth largest holding company with revenues of over $4 billion annually. Tokyo-based Dentsu, which owns 20 percent of Chicago-based Bcom3, will have a 15 percent share in the merged company.

Publicis did not reveal a breakdown on the vote.

Bcom3 shareholders are expected to vote on the deal in either late July or early August, according to a company representative.
