NEW YORK Search marketing agency Fathom Online said co-founder Chris Churchill would step down as CEO.

The San Francisco-based shop said former Autoweb CEO Dean DeBiase would replace Churchill, who will remain with Fathom Online as vice chairman of its board of directors.

DeBiase has served as CEO of several startup companies prior to a public stock offering or acquisition. He was CEO of Autoweb prior to its IPO in 1999. Autobytel acquired Autoweb in 2001 for $15 million. He was also CEO of online gaming and instant messaging company The Imagination Network, which AOL bought in 1996.

Fathom, which Churchill founded in 2002, received $6 million in venture financing in 2004. It has expanded by opening offices in Chicago and New York. This year, Fathom beefed up its management team, adding a chief operating officer, chief technology officer and chief financial officer.
