Marc Andreessen-Led Funds Conduct Pro Rata Distributions of Facebook Shares

Facebook director Marc Andreessen reported in a Form 4 filing with the Securities and Exchange Commission Friday that several funds he controls conducted pro rata distributions of class-A common shares in Facebook.

Andreessen Horowitz Fund III conducted a pro rata distribution of 504,538 shares of Facebook class-A common stock to its general and limited partners, and the fund now holds 504,538 Facebook shares.

AH Equity Partners III received 4,979 shares from the pro rata distribution by Andreessen Horowitz Fund III, and it then distributed 4,979 to its members and assignees, leaving it with no Facebook shares.

AH Parallel Fund III conducted pro rata distribution of 349,179 class-A shares to its general and limited partners, and it now holds 349,176 shares in the company.

AH Equity Partners III Parallel received 3,435 Facebook class-A shares from the pro rata distribution by AH Parallel Fund III, and it then distributed 3,435 to its members and assignees, leaving it with no Facebook shares.

Andreessen 1996 Living Trust received 2,488 class-A Facebook common shares from the pro rata distribution by Andreessen Horowitz Fund III, 1,722 from the pro rata distribution by AH Parallel Fund III, 1,088 from the pro rata distribution by AH Equity Partners III and 751 from the pro rata distribution by AH Equity Partners III Parallel. It now holds 1,631,173 shares of Facebook class-A common stock.

And AH Capital Management received 98 class-A shares from the pro rata distribution by AH Equity Partners III and 68 from the pro rata distribution by AH Equity Partners III Parallel. It then distributed 71 Facebook shares to its members and assignees, leaving it with 280.

Facebook chief operating officer Sheryl Sandberg also filed a Form 4 with the SEC Friday, reporting that the Sandberg-Goldberg Family Trust received 7,135 shares of Facebook class-A common stock as part of the pro rata distribution by Sequoia Capital U.S. Venture 2010 Partners Fund to its limited partners. The Sandberg-Goldberg Family Trust now holds 15,785 Facebook shares.

Chief technology officer Mike Schroepfer also reported in a Form 4 that he received 2,384 class-A shares as part of the pro rata distribution by Sequoia Capital U.S. Venture 2010 Partners Fund to its limited partners, and he now holds 261,454 shares in the company.
